Terms & Conditions
These Terms & Conditions ("Terms") govern your access to and use of FlipScout (the "Service"), operated by TechSpatch Logistics LLC ("FlipScout," "we," "us"). By creating an account, subscribing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18 years old and able to form a binding contract. You are responsible for keeping your login credentials secure and for all activity under your account.
2. What the Service Provides
FlipScout aggregates publicly available and licensed real-estate data to surface potential below-market property leads, provides estimated investor calculations (such as ARV, repair estimates, and maximum allowable offer), and offers educational materials and a directory of third-party tools and service providers. All figures are estimates and may be inaccurate or incomplete. You are solely responsible for independently verifying every property, number, and decision.
3. Subscriptions, Billing & Cancellation
- Paid plans (Scout, Hunter, Mogul) are billed on a recurring monthly basis through our payment processor, Stripe. By subscribing, you authorize recurring charges until you cancel.
- Subscriptions renew automatically each billing period. You may cancel at any time; cancellation stops future renewals and takes effect at the end of the current paid period.
- The Whitelabel offering is a one-time purchase as described at checkout.
- Refund policy: Except where required by law, all fees are non-refundable, and partial billing periods are not prorated. You may cancel at any time to stop future charges.
- We may change pricing or plan features with reasonable advance notice; changes apply to subsequent billing periods.
4. Third-Party Services & Referral Relationships
The Service references third-party tools, lenders, contractors, attorneys, title companies, and other providers. We do not control and are not responsible for these third parties. FlipScout may earn referral or affiliate compensation from certain partners (for example, software tools, business-purpose lenders, and insurance providers) when you sign up through links we provide. This does not increase your cost and is not an endorsement or guarantee of any provider. You should independently evaluate every provider.
5. Your Responsibilities & Compliance with Law
Real estate wholesaling and assignment activities are regulated and, in some states, require a license or are restricted. You are solely responsible for understanding and complying with all federal, state, and local laws applicable to your activities, and for engaging your own licensed attorney, broker, accountant, and other professionals. You agree not to misuse the Service, scrape it, resell access (except under a valid Whitelabel license), or use it for unlawful purposes.
6. Intellectual Property
The Service, including its software, content, and branding, is owned by TechSpatch Logistics LLC and protected by law. We grant you a limited, non-exclusive, non-transferable license to use the Service for your own real estate investing activities, subject to these Terms. Whitelabel rights, if purchased, are governed by the separate terms of that offering.
7. No Warranties
The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that leads will be profitable, that data is accurate, or that the Service will be uninterrupted or error-free.
8. Limitation of Liability
To the maximum extent permitted by law, TechSpatch Logistics LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, lost investment, or losses arising from real estate transactions, decisions, or reliance on the Service. Our total liability for any claim will not exceed the amount you paid us in the twelve (12) months before the claim.
9. Indemnification
You agree to indemnify and hold harmless TechSpatch Logistics LLC from any claims, damages, or expenses arising out of your use of the Service, your real estate activities, or your violation of these Terms or applicable law.
10. Termination
We may suspend or terminate your access if you violate these Terms or misuse the Service. You may stop using the Service at any time.
11. Governing Law
These Terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in North Carolina.
12. Changes to These Terms
We may update these Terms from time to time. Material changes will be posted here with an updated date; continued use of the Service constitutes acceptance.
